1. Introduction

These Terms & Conditions (“Terms”) govern the provision of logistics, transportation, warehousing and related services by Ship Net Logistics (“Ship Net”, “we”, “us” or “our”) to the customer (“Customer”, “you” or “your”). By requesting a quote, booking a shipment, using our website or accepting our services, you agree to be bound by these Terms. If you do not agree with any provision of these Terms, do not use our services.

2. Definitions

  • Booking: any request, reservation or order for services submitted by the Customer.
  • Carrier: any third-party transportation provider engaged to carry or handle shipments (including road, rail, air and ocean carriers).
  • Shipment: goods, cargo, parcels, packages or items tendered to Ship Net for transport, storage, consolidation or delivery.
  • BOL: Bill of Lading, airway bill or equivalent transport document issued in connection with the carriage of goods.

3. Scope of Services

Ship Net provides end-to-end logistics services including but not limited to quotation, booking, consolidation, pickup, transportation (air, ocean, road, rail), warehousing, distribution, customs facilitation and last-mile delivery. Specific service inclusions and exclusions are set out in the booking confirmation, invoice and any applicable service-level documentation.

4. Customer Obligations

Customers must provide accurate, complete and lawful information regarding the Shipment including description of contents, quantities, dimensions, gross and net weight, declared value, HS codes and any special handling instructions. You must ensure packaging is adequate to protect goods during handling and transit. You must obtain all permits, licenses and consents required by applicable law for export, import or transit. Customer warrants that no Shipment contains prohibited or restricted items unless properly declared and authorized.

5. Booking, Confirmation & Pricing

Quotes are estimates and valid for the period specified on the quote. A booking becomes binding when Ship Net issues a written confirmation or invoice. Prices shown are subject to verification upon receipt of the actual weight, volume, dimensions and nature of goods. Additional charges such as fuel surcharges, peak season surcharges, duties, taxes, customs fees, inspection fees, storage, demurrage, handling and remote area surcharges may apply and will be charged to Customer. Ship Net may require prepayment, deposit or use of customer's approved credit facility prior to providing services.

6. Payment Terms

Unless otherwise agreed in writing, all invoices are payable in full within the period specified on the invoice. Late payments may attract interest at the rate stated on the invoice or the maximum permitted by law. Customer is responsible for all collection costs, fees and taxes associated with the transaction. Ship Net reserves the right to suspend or cancel services for overdue accounts and to withhold release of goods until payment and any outstanding charges are received.

7. Insurance

Shipment cover is not included unless expressly stated. It is the Customer’s responsibility to arrange appropriate insurance for loss, damage, theft or other risks. If Ship Net arranges insurance on behalf of the Customer, the Customer agrees to reimburse all premiums and fees. Ship Net’s role in arranging insurance is administrative only and Ship Net is not responsible for insurer decisions or coverage disputes.

8. Carrier & Third-Party Liability

Ship Net acts as a freight forwarder and intermediary in procuring carriage and related services. All carriage is subject to the terms, conditions and limits of liability of the applicable Carrier and any international conventions (including but not limited to the Montreal Convention, Hague-Visby Rules, CMR, or other applicable instruments). Ship Net shall not be liable for loss, damage, delay or shortage beyond the Carrier's liability. Where Carrier liability is limited by law or contract, Ship Net’s liability shall be limited to the extent allowed under such laws and contracts.

9. Claims, Inspection & Notification

All claims for loss or damage must be notified to Ship Net in writing within forty-eight (48) hours of delivery for visible damage or shortage and within seven (7) days of delivery for non-visible damage. For international shipments where statute or Carrier conditions differ, applicable shorter limits will apply. Customer must retain all packaging and make the goods available for inspection. Failure to comply with notification and inspection requirements may result in claim denial.

10. Limitation of Liability

Except to the extent prohibited by law, Ship Net's aggregate liability for any loss or damage arising out of or in connection with the services, whether in contract, tort or otherwise, shall not exceed the charges paid for the particular service giving rise to the claim or the limits imposed by applicable Carrier terms and conventions. Ship Net shall not be liable for indirect, consequential, special, punitive or lost profit damages.

11. Dangerous, Prohibited & Restricted Goods

Customers must not tender hazardous, dangerous, perishable or restricted goods unless previously declared, documented and accepted by Ship Net in writing. Ship Net may require dangerous goods declarations, packaging certificates and emergency contact information. Ship Net reserves the right to refuse or quarantine any goods that are improperly declared, inadequately packaged or present a safety hazard. Customer shall indemnify Ship Net for all losses, liabilities, costs or fines arising from tendering prohibited or improperly declared items.

12. Customs, Export Controls & Regulatory Compliance

Customer is responsible for providing accurate customs documentation, commercial invoices, export licenses and any other documents required by authorities. Ship Net will provide reasonable assistance in customs clearance but is not liable for delays, penalties or seizures resulting from incorrect documentation or non-compliance with applicable laws. Shipments to or from jurisdictions subject to trade sanctions, embargoes or export controls may be restricted; Customer must inform Ship Net if goods are subject to such controls. Ship Net may refuse to handle goods that could expose it to regulatory risk.

13. Storage & Warehousing

Storage charges, security fees and handling fees may apply where Ship Net stores goods in its or third-party facilities. Stored goods are stored at Customer’s risk and Ship Net’s liability shall be limited as set out in these Terms and the applicable warehouse operator’s terms. Ship Net may dispose of abandoned goods after providing reasonable notice and complying with applicable law. Customer shall pay all outstanding charges before retrieval of goods.

14. Force Majeure

Ship Net shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, civil unrest, strikes, lockouts, industrial disputes, natural disasters, government actions, epidemics, pandemics, port closures, carrier insolvency or shortages, or other events of force majeure. Performance times are estimates only and may be extended in such circumstances.

15. Indemnity

Customer shall indemnify, defend and hold Ship Net harmless against any claims, liabilities, losses, fines, penalties, costs and expenses (including reasonable legal fees) arising out of Customer’s breach of these Terms, negligence, willful misconduct, inaccurate information, unlawful shipment or failure to comply with laws, except to the extent such liability arises from Ship Net’s gross negligence or willful misconduct.

16. Confidentiality & Data Protection

Both parties shall treat confidential information as private and shall not disclose such information except as necessary to perform their obligations, to comply with law, or with prior written consent. Ship Net will process personal data in accordance with its Privacy Policy and applicable data protection laws. By using Ship Net services, Customer authorizes Ship Net to share necessary personal data with Carriers, customs authorities and third parties involved in the provision of services.

17. Electronic Communications & Documents

Ship Net may communicate with Customers electronically and send invoices, notices and transport documents by email or other electronic means. Electronic records and signatures shall be binding to the same extent as written documents where permitted by law. Customer must keep electronic contact details up to date.

18. Intellectual Property

All content, branding, logos, text and materials on Ship Net’s website or provided in documentation remain the intellectual property of Ship Net or its licensors. Customer is granted a limited, non-exclusive, non-transferable license to use such materials for the purpose of receiving services. Unauthorized use is prohibited.

19. Termination & Suspension

Ship Net may suspend or terminate provision of services and access to accounts where Customer breaches these Terms, fails to pay invoices, provides false information, or engages in unlawful activity. Termination will be without prejudice to Ship Net’s claim for charges, losses or damages incurred up to termination.

20. Assignment

Ship Net may assign or subcontract all or part of its rights and obligations. Customer may not assign its rights under these Terms without Ship Net’s prior written consent.

21. Notices

All notices to Ship Net should be sent to the contact details set out on our website or invoice. Notices are effective upon receipt by email, postal delivery or other recorded method.

22. Dispute Resolution & Governing Law

These Terms are governed by the laws of the United States of America and the State of Arizona. Parties will attempt to resolve disputes amicably through good-faith negotiations. If unresolved, disputes will be submitted to the courts of competent jurisdiction in Arizona unless otherwise required by mandatory law.

23. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, such provision shall be severed and the remaining provisions will continue in full force. Failure by either party to exercise any right shall not be a waiver of that right.

24. Entire Agreement

These Terms, together with any booking confirmations, service agreements and referenced documents, constitute the entire agreement between the parties and supersede any prior understandings or agreements.

25. Additional Provisions

  • Compliance: Customer shall comply with all applicable laws, sanctions and export controls.
  • Audit: Ship Net may audit records related to performed services to validate compliance and charges.
  • Third-Party Terms: Where Ship Net procures third-party services, the Customer agrees that such third-party terms will apply.
